Terms and Conditions for Software Sphere Inc.

Please read these Terms and Conditions ("Terms") carefully before using the Software Sphere platform ("Platform"). These Terms govern your access to and use of the Platform provided by Software Sphere ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Platform.

1. Use of the Platform
1.1 Eligibility:
You must be at least 18 years old and have the legal authority to enter into these Terms. By accessing or using the Platform, you represent and warrant that you meet these eligibility requirements.

1.2 License:
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes.

1.3 Prohibited Conduct:
You agree not to:
a) Violate any applicable laws, regulations, or third-party rights;
b) Use the Platform in any manner that may interfere with its operation or impair its security or functionality;
c) Engage in any unauthorized access or use of the Platform;
d) Attempt to gain unauthorized access to any accounts, systems, or networks related to the Platform;
e) Transmit any viruses, malware, or other harmful code through the Platform;
f) Engage in any activity that could harm the reputation of Software Sphere or its users;
g) Use any automated means, including bots, to access or use the Platform without our prior written consent;
h) Use the Platform for any unlawful, misleading, malicious, or discriminatory purposes;
i) Reverse engineer, decompile, or disassemble any aspect of the Platform.

2. Intellectual Property
2.1 Ownership:
The Platform and all associated intellectual property rights are owned by Software Sphere. You acknowledge that the Platform and its content, including but not limited to software, logos, trademarks, and other materials, are protected by copyright, trademark, and other laws.

2.2 License Limitations:
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or any part thereof unless expressly authorized by Software Sphere in writing.

3. Privacy
We collect, use, and disclose your information in accordance with our Privacy Policy. By using the Platform, you consent to the collection and use of your information as described therein.

4. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

5. Limitation of Liability
IN NO EVENT SHALL Software Sphere, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF Software Sphere HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Indemnification
You agree to indemnify, defend, and hold Software Sphere, its directors, officers, employees, and agents harmless from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Platform or your breach of these Terms.

7. Modification and Termination
We reserve the right to modify or terminate the Platform, these Terms, or any part thereof, at any time without prior notice. We may also suspend or terminate your access to the Platform for any reason, including, but not limited to, violation of these Terms.

8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario. Any legal action or proceeding arising out of or in connection with these Terms shall be brought exclusively in the courts of the Province of Ontario.

9. Entire Agreement
These Terms constitute the entire agreement between you and Software Sphere regarding the Platform and supersede all prior or contemporaneous agreements, understandings, or representations.

10. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12. Refund Policy for Software Sphere

Thank you for choosing Software Sphere as your provider of SaaS (Software as a Service) tools. We strive to offer high-quality products and services to enhance your automation needs. However, we understand that there may be situations where a refund is necessary. This refund policy outlines the guidelines and procedures for requesting a refund from Software Sphere. By using our platform and purchasing our SaaS tools, you agree to adhere to the terms of this refund policy.

Eligibility for Refund:
Software Sphere offers a refund for the following situations:

a. Technical Issues: In the event that our SaaS tools encounter significant technical issues or fail to function as intended, and our support team is unable to resolve the problem within a reasonable time frame.
b. Service Disruption: If there is an extended service disruption or unavailability of the Software Sphere platform, preventing you from accessing and utilizing the purchased SaaS tools.
c. Dissatisfaction: If you are dissatisfied with the functionality, features, or performance of the SaaS tools and can provide specific and valid reasons for your dissatisfaction.

Refund Requests:
To request a refund, please follow these steps:

a. Contact Support: Reach out to our customer support team by email at admin@softwaresphere.ca within 30 days from the date of purchase or encountering the issue. Include your order details, a clear description of the problem, and any supporting evidence or documentation.
b. Resolution Attempts: Our support team will work with you to address the issue and resolve any technical problems or concerns. We may require additional information or troubleshooting steps to assist in the resolution.
c. Refund Evaluation: If the issue persists or cannot be resolved to your satisfaction, our team will evaluate your refund request based on the eligibility criteria mentioned in Section 1. We may ask for additional information or evidence related to the issue.
d. Refund Decision: Upon review, we will notify you of the decision regarding your refund request. If approved, we will initiate the refund process within three days. Refunds will be issued using the original payment method, unless otherwise mutually agreed upon.
e. Non-refundable Items: Certain situations may be excluded from our refund policy, such as misuse, violation of our terms of service, or refund requests made after the specified time frame.

13. Limitations:
a. Partial Refunds: In some cases, we may offer partial refunds based on the extent of the issue or the duration of the disruption.
b. Third-Party Fees: Software Sphere is not responsible for any fees or charges incurred by third-party payment processors or banks during the refund process.
c. Non-Transferable: Refunds are non-transferable and apply only to the original purchaser.

14. Modifications to the Refund Policy:
Software Sphere reserves the right to modify or update this refund policy at any time. Any changes will be effective immediately upon posting the revised policy on our website. It is your responsibility to review this policy periodically.

Please note that this refund policy is in addition to your statutory rights as a consumer and does not affect any legal rights you may have.
